1. Acceptance of Terms & Relationship Scope
By registering an account, generating tracking links, or listing promotional campaigns on OffClicks ("the Network", "we", "us", or "our"), you ("Partner", "Creator", "Merchant", or "User") agree to be bound by these Terms of Service. If you do not agree to these terms, you must immediately discontinue participation in the network.
Your relationship with OffClicks is strictly that of an independent contractor. Nothing in these Terms shall create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and OffClicks.
2. Eligibility & Account Responsibilities
Participation requires meeting the following baseline qualifications:
- You must be at least 18 years of age or the age of legal majority in your jurisdiction.
- You must provide accurate, verifiable contact information, identity details, and payout banking credentials. Maintaining duplicate or fraudulent accounts is strictly prohibited.
- You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your dashboard.
3. Promotional Standards & Regulatory Disclosures
Creators are required to maintain strict adherence to international advertising standards, including the United States Federal Trade Commission (FTC) Guides Concerning the Use of Endorsements and Testimonials in Advertising, the UK Advertising Standards Authority (ASA), and applicable local consumer protection laws:
- No Misleading Claims: You may not make false assertions regarding product efficacy, availability, or manufactured pricing discounts.
- No Impersonation: You may not misrepresent yourself as an employee, official representative, or direct subsidiary of OffClicks or any partner brand (e.g., Amazon, AliExpress).
4. Prohibited Traffic & Anti-Fraud Policy
OffClicks maintains an aggressive zero-tolerance stance toward fraudulent traffic. The following practices will trigger immediate account termination and forfeiture of pending earnings:
- Trademark Bidding (PPC): Bidding on merchant trademarked names, brand variations, or domain misspellings on Google Ads, Bing Ads, or other search engines without explicit written consent.
- Incentivized or Deceptive Clicks: Offering unauthorized cashback, rewards, or misleading prompts (e.g., "Click here to see secret video") to manipulate click counts.
- Automated & Bot Traffic: Generating impressions or clicks via automated scripts, spiders, proxies, VPN click-farms, or hidden iframes (cookie-stuffing).
- Spam Distribution: Posting affiliate links in unsolicited email blasts, direct message spam, or scraping comment sections of third-party forums.
5. Tracking, Attribution & Commission Calculation
Commissions are calculated based on qualified actions recorded through our server-to-server (S2S) tracking protocols and cookie telemetry:
- Attribution Windows: Cookies remain active for the specific duration designated by the merchant campaign (typically 24 hours to 60 days). The last qualifying referral link or vanity code entered prior to purchase receives attribution.
- Net Sales Value: Percentage-based commissions apply to the net product checkout value, excluding shipping charges, duties, taxes, and promotional store credit deductions.
- Merchant Inventory: OffClicks does not warrant the availability, fulfillment, or warranty of products offered by third-party merchants.
6. Payout Terms, Validation Holds & Taxes
Commission settlements are subject to standard e-commerce validation protocols:
- 30-Day Validation Hold: Because merchants must accommodate consumer return and cancellation windows, all recorded commissions remain in a 'Pending' status for 30 days before moving to cleared balances.
- Payment Thresholds: The minimum withdrawal threshold is $50.00 USD for PayPal and Payoneer disbursements, and $100.00 USD for Direct Bank Wire transfers. Unreached balances roll over automatically.
- Tax Compliance: Prior to your first payout, US creators must submit an IRS Form W-9, and non-US creators must submit an IRS Form W-8BEN through our secure dashboard portal.
7. Chargebacks, Returns & Reconciliations
If a customer returns a product, initiates a credit card chargeback, or if a transaction is flagged as payment fraud during the validation cycle, the associated pending commission will be reversed. If a payout has already occurred for an order later proven to be fraudulent, OffClicks reserves the right to deduct the corresponding amount from subsequent cleared creator earnings.
8. Intellectual Property
OffClicks grants partners a revocable, non-exclusive, non-transferable license to access our deep link generators, dashboard tools, and approved promotional marketing materials solely for participating in our network. All trademarks, service marks, logos, and proprietary software remain the exclusive property of OffClicks Network Inc. or their respective merchant owners.
9. Disclaimers & Limitation of Liability
THE OFFCLICKS NETWORK AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
OFFCLICKS MAKES NO REPRESENTATIONS OR GUARANTEES REGARDING THE AMOUNT OF COMMISSION AN AFFILIATE WILL EARN. IN NO EVENT SHALL OFFCLICKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.
10. Modifications & Governing Law
We reserve the right to amend these Terms of Service at any time by publishing updated terms on this page. Your continued use of the network following posted modifications constitutes affirmative acceptance of the revised agreement.
These Terms shall be governed by and construed in accordance with international commercial law standards and the laws of our operating jurisdiction, without regard to conflict of law principles.
